The government has said this out loud. In 2026 it opened a new programme to help small and mid-sized agencies go abroad: ten companies a year, up to ₩300m each. Look at what it buys. Records, flights, lodging, local promotion. It does not buy a review of the contract that artist will sign abroad, or protection for what they take with them. Legal and IP support does exist elsewhere — a trade-agency programme that selects eighty service companies a year across franchising, edtech, healthcare, content and ICT. It was not built for a music label, and a label competes for it against every other service exporter in the country. The music programme puts the artist on the plane. We find the pairing before either side knows it exists: a studio in Seoul with a method worth exporting, an operator in Manila with the venue and the audience. We qualify both. Structure구조 설계

Who owns what, who licenses what to whom, who runs the day-to-day, who can say no. We map the commercial terms — the entity chain, the equity split, the licence economics and the governance rights — and your counsel turns them into documents. We make sure the IP stays with the company that created it.누가 무엇을 소유하고, 누가 누구에게 무엇을 라이선스하고, 누가 일상적인 운영을 맡고, 누가 거부할 수 있는가. 법인 구조·지분 배분·라이선스 경제조건·거버넌스 권한까지 사업 조건을 정리합니다. 그것을 계약서로 옮기는 일은 변호사가 합니다. We run the process to signature: sequencing, counsel coordination on both sides, the remaining open points. Legal drafting is done by independent lawyers; we manage the room. After signing, the operating partner operates. Counterpart search and qualification상대 발굴과 검증

For a Korean creator: which operator, in which market, has the venue, the license history and the balance sheet to run what you make. For a partner abroad: which studio, label or producer actually owns the thing you want, and whether it is free to license.한국 창작자에게: 만든 것을 운영할 공간·라이선스 이력·재무 여력을 갖춘 운영자가 어느 시장에 있는가. 해외 파트너에게: 어느 스튜디오·레이블·프로듀서가 원하는 것을 실제로 소유하며, 그것을 라이선스할 자유가 있는가.

Deal thesis and market sizing딜 논거와 시장 규모

Much of this work is translation. People arrive saying "we want to invest in K-pop." Sit them down with real terms and almost none of them want the hit-or-miss risk of making an idol group. What they want is a way into K-culture without the production risk. So we do not turn their first sentence into a product. The entity chain, the split between an IP-holding company and an operating company in market, the equity each party receives for what it contributes, the licence that connects them, and the governance rights that let the minority say no to the things that matter.법인 구조, IP 보유 회사와 현지 운영 회사의 분리, 각자가 기여한 것에 대해 받는 지분, 둘을 잇는 라이선스, 그리고 소수 지분이 중요한 사안에 거부할 수 있게 하는 거버넌스 권한.

We sit with the Korean party or the foreign party — never both in the same deal — and prepare the commercial priorities, the alternatives, and the point at which the deal stops making sense. A note for investors. We do not raise money and we do not introduce you to money. What we do is design the structure that investment can enter: who owns what, which rights sit where, what happens on failure, and in what order money comes back out. Everything above is real and current, and everything above is deliberately vague. Counterparts, markets and terms are shared with qualified partners under a non-disclosure agreement — because protecting a deal before it closes is part of doing the deal. We never sit on both sides of a deal. We do not operate the businesses we help create. We do not take ownership or custody of anyone's rights. Every structure we draw is tested against the question: if this venture fails in year two, where do the rights sit, who owes whom, and can the Korean side exit with its core rights intact? A restraint that holds in one market can be unenforceable, or expensive, in the next — which of them holds where is settled by local counsel, market by market, before anything is signed. So the tools differ by market: trademark, trade secret, system access, quality audit. How are you different from an agency or a management company?에이전시나 매니지먼트 회사와 무엇이 다릅니까?

Agencies and management companies represent people and take a continuing share of what those people earn. We work on transactions between businesses. We do not represent performers or trainees, we do not place anyone with a company, and our work ends — or turns into a governance seat — when the agreements are signed.에이전시와 매니지먼트는 사람을 대리하고 그 사람의 수입에서 지속적으로 일정 몫을 받습니다. 우리는 회사 간 거래를 다룹니다. 실연자나 연습생을 대리하지 않고, 누구도 회사에 소개·공급하지 않으며, 우리 일은 계약이 서명되면 끝나거나 거버넌스 참여로 전환됩니다.

No. We design and run deals. Drafting or reviewing your contracts, filing or representing you before an IP office, and formal IP appraisals are reserved to licensed lawyers and patent attorneys, and you engage them directly. Do you take ownership or management of our IP?우리 IP를 소유하거나 관리합니까?

Never. Your rights stay yours, in an entity you control. We help you decide what to license and to whom, and how to get it back if things go wrong. The terms are settled with your own counsel. We do not collect royalties on your behalf and we do not enforce your rights for you.절대 하지 않습니다. 권리는 귀사가 지배하는 법인 안에 그대로 남습니다. 무엇을 누구에게 라이선스할지, 일이 어긋나면 어떻게 되찾을지 함께 판단합니다. 조건 확정은 귀사의 변호사와 합니다. 대신 로열티를 징수하지도, 권리를 집행하지도 않습니다.

Sometimes we hold a stake in a venture we helped build, when both sides want us to share the risk. It is our own capital, a minority position, disclosed and agreed before the structure is set, and never a condition of working with us. One side per deal — the party that engages us. Our thesis is that the independent Korean layer needs a party of its own, so that is where most of our engagements start.
